Louis Fishman and Maureen Gershanik Return to Tulane Law to Co-Teach Corporate Governance Mini-Course

Partner Maureen Gershanik and Counsel to the Firm Louis Fishman have returned to Tulane University Law School to co-teach a Corporate Governance mini-course this semester.
The course, which meets for six two-hour sessions, examines current and emerging issues in corporate governance through the lens of real-world developments. Topics include shareholder rights and activism, proxy contests, ESG (Environmental, Social, and Governance) considerations, and ethical challenges facing business lawyers. Maureen will lead a session exploring the history of corporations and the long-standing debate over whose interests corporations should serve—shareholders alone or a broader group of stakeholders.
Louis, a Tulane Law graduate, has taught the course at his alma mater for many years and has played a significant role in shaping Tulane’s corporate law program. He is a co-founder of Tulane’s Corporate Law Institute, an annual event that has gathered the best and brightest M&A and securities practitioners, Delaware Supreme Court and Court of Chancery judiciary, leading corporate counsel, and Wall Street investment bankers since 1988. In recognition of his longstanding contributions to the law school and the profession, Louis was inducted into the Tulane Law Hall of Fame in 2024, and Fishman Haygood has established a Professorship in Corporate Law in his name.
This marks Maureen’s fourth year as an official instructor of the mini-course. In addition to her teaching, Maureen is a past chair and council member of the Louisiana State Bar Association’s Section on Corporate and Business Law and an appointed member of the ABA Business Law Section’s Corporate Laws Committee, which oversees updates to the Model Business Corporation Act. She has also been a speaker at the Tulane Corporate Law Institute on topics including ESG considerations in dealmaking and shareholder activism.
Through teaching and scholarship, Fishman Haygood attorneys remain deeply engaged in the continued development of corporate law and legal education.
